Acquirity Limited t/a Vantage Solutions
Supply of Services
1.1 Acquirity Limited t/a Vantage Solutions ("Vantage", "we", "us", "our") acts as an intermediary and adviser in respect of commercial energy procurement. We do not supply energy directly.
1.2 Any agreement for the supply of energy is made between you ("the Customer", "you") and the relevant energy supplier ("the Supplier"). Vantage is not a party to any contract for the supply of energy.
1.3 We provide commercial energy consultancy services to UK businesses, including market analysis, supplier negotiation, contract arrangement and account management.
1.4 We act as an adviser and do not guarantee specific outcomes or savings. Any figures provided are estimates based on information available at the time.
1.5 Our services are provided in accordance with these Terms and Conditions ("the Terms"), which constitute the entire agreement between Vantage and the Customer in respect of the services provided.
Customer's Obligations
2.1 The Customer agrees to provide accurate and complete information to Vantage, including but not limited to energy consumption data, site details, contract end dates and billing information.
2.2 The Customer agrees to respond to reasonable requests for information from Vantage in a timely manner to enable us to provide our services effectively.
2.3 The Customer warrants that they have the authority to enter into agreements in respect of the energy supplies for which they engage Vantage's services.
2.4 The Customer agrees to notify Vantage promptly of any changes to their circumstances that may affect the provision of our services, including changes to site occupancy, tenancy status or energy requirements.
2.5 The Customer agrees to provide Vantage with a Letter of Authority where required, authorising us to act on their behalf in communications with energy suppliers.
Customer's Breach of the Agreement: Suspension and Termination
3.1 If the Customer breaches any material term of these Terms, Vantage may, at its discretion, suspend or terminate the provision of services with immediate effect.
3.2 A material breach includes, but is not limited to: providing false or misleading information; failing to provide a Letter of Authority; withdrawing instructions after Vantage has commenced work; or engaging another broker in respect of the same energy requirements without notifying Vantage.
3.3 In the event of suspension or termination under this clause, the Customer remains liable for any costs incurred by Vantage up to the point of suspension or termination.
3.4 Vantage reserves the right to terminate the provision of services if the Customer becomes insolvent, enters administration or liquidation, or otherwise becomes unable to pay its debts as they fall due.
Change of Tenancy
4.1 The Customer agrees to notify Vantage immediately of any change of tenancy at any site for which Vantage has provided or is providing services.
4.2 In the event of a change of tenancy, any contract arranged by Vantage with a Supplier may be transferred to the new tenant only with the agreement of the Supplier and in accordance with the Supplier's terms.
4.3 Vantage accepts no liability for any costs, charges or penalties arising from a change of tenancy, including any out-of-contract rates applied by the Supplier.
4.4 The Customer agrees that any commission payable to Vantage in respect of a contract arranged prior to a change of tenancy remains payable in accordance with Clause 7.
Litigation Costs
5.1 Vantage is not responsible for any litigation costs arising from disputes between the Customer and a Supplier, including but not limited to disputes over billing, contract terms or supply quality.
5.2 Where Vantage is required to participate in legal proceedings arising from its own acts or omissions, each party shall bear its own costs unless a court orders otherwise.
5.3 The Customer agrees to indemnify Vantage against any costs incurred as a result of the Customer providing false or misleading information that leads to legal proceedings.
Consequences of Termination
6.1 Upon termination of the provision of services by Vantage, any contracts arranged between the Customer and a Supplier shall continue in accordance with their own terms and are not affected by the termination of Vantage's services.
6.2 Any commission payable to Vantage in respect of contracts arranged prior to termination remains payable in accordance with Clause 7.
6.3 The Customer remains bound by these Terms in respect of all services provided and contracts arranged prior to termination.
6.4 Termination does not affect any rights or liabilities that have accrued prior to the date of termination.
Commission Payments to Acquirity Limited t/a Vantage Solutions
7.1 Vantage receives commission from energy suppliers in respect of contracts arranged between the Customer and the Supplier. The Customer acknowledges and agrees that Vantage may receive such commission.
7.2 The amount of commission received by Vantage may vary depending on the Supplier, the contract type and the contract term. Vantage will tell the Customer the amount of its commission before the Customer agrees to an Energy Contract, and provide further details on request, in accordance with our Commission Disclosure.
7.3 Commission received by Vantage is paid by the Supplier and is included within the prices the Customer pays under the Energy Contract. Suppliers disclose broker costs in the contract principal terms, and Vantage will confirm the amount of its commission before the Customer agrees to a contract.
7.4 Vantage may also receive renewal commission where a contract is renewed. The Customer acknowledges and agrees to this arrangement.
7.5 Where Vantage provides services on a fee basis rather than a commission basis, the fee will be agreed in writing in advance.

8.1 To the fullest extent permitted by law, Vantage accepts no liability for any loss arising from reliance on information provided on this website or in communications, except where such loss arises from Vantage's negligence or wilful default.
8.2 Vantage is not liable for any acts or omissions of energy suppliers, including but not limited to pricing errors, supply interruptions, billing disputes or contract terms.
8.3 Vantage's total liability in respect of any claim arising from the provision of services shall not exceed the total commission received by Vantage in respect of the relevant contract.
8.4 Vantage is not liable for any indirect, consequential or economic loss arising from the provision of services or from any failure to provide services.
8.5 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

9.1 Vantage processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
